1. The eventual and paid-up capital of Instacom Group SA

Currently, the anticipated eventual and paid up capital of Instacom Group SA is South African Rand ("ZAR") one (1) million (approximately RM400,000) comprising 1,000,000 ordinary shares of ZAR1 each. Instacom Group Berhad’s portion shall be ZAR510,000 (approximately RM170,000).


2. The sources of funds for financing the investments in Instacom Group SA and its breakdown

Funds for the investments in Instacom Group SA shall be 100% from internally generated funds. As such, no breakdown is provided.


3. Details of Victory Parade Trading 182 (Pty) Ltd

Victory Parade Trading 182 (Pty) Ltd is incorporated on 6 November 2007. The place of incorporation is Cape Town, South Africa. The company’s principal activities are general trading and construction. The authorized share capital is ZAR1,200 comprising 1,200 ordinary shares and the current paid up share capital is ZAR120. The current sole director and sole shareholder is Mr Rudowaan Baderoen.

(ii) proposed bonus issue of 247,462,179 warrants in iDimension (“Warrants”) on the basis of one (1) Warrant for every two (2) existing Shares held by entitled shareholders on an entitlement date to be determined later (“Proposed Bonus Issue of Warrants”);

 

(iii) proposed increase in the authorised share capital of iDimension from RM50,000,000 comprising 498,000,000 Shares and 20,000,000 redeemable convertible preference shares of RM0.01 each (“RCPS”) to RM100,000,000 comprising 998,000,000 Shares and 20,000,000 RCPS (“Proposed Increase in Authorised Share Capital”); and

 

(iii) proposed amendment to the Memorandum and Articles of Association of iDimension (“Proposed Amendment”)
