The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposed Private Placement. We refer to the announcements made by RHB Investment Bank Berhad ("RHB"), on behalf of the Board of Directors of MNC ("Board") on 25 September 2013, 17 October 2013, 21 March 2014 and 20 November 2014. On behalf of the Board, RHB wishes to announce that the Board had decided to abort the Proposed Private Placement after taking into consideration of its current funding requirements. Based on the nine (9)-month financial period ended 30 September 2014, the financial position and the cash and bank balances of MNC Group had improved as compared to the period when the Proposed Private Placement was first announced. As at 30 September 2014, the net assets of MNC Group stood at RM5.50 million, while the cash and bank balances of MNC Group stood at RM3.28 million. Furthermore, MNC had, from 7 July 2014 to 25 July 2014, disposed of its holding of 8,000,000 ordinary shares of RM0.10 each in Mexter Technology Berhad for a total cash consideration of RM1.05 million. In view of the above, the Board had decided that no immediate funding via the Proposed Private Placement is required for MNC Group at this juncture. However, the Board may deliberate on other fundraising exercises in the future, if required. This announcement is dated 25 November 2014.
