Pursuant to Rules 9.03 and 9.08 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad and in reference to the previous announcement made on 30 September 2014 in respect of the qualified opinion expressed by the Company’s External Auditors in the Company’s Audited Financial Statements for the financial year ended 31 May 2014, the Board of Directors of REDTONE wishes to announce that the third party debtor has signed a major contract recently which will facilitate its repayment to the Company. This supports the Board’s opinion and confidence on the recoverability of this debt. In connection therewith, the Company will engage the Company’s External Auditors, Messrs. Crowe Horwath, to perform a review on the recoverability of this outstanding receivable.

Further to our announcement dated 28 August 2014, the Board of Directors of VCB wishes to announce that the Company’s public shareholding spread as at 27 November 2014 was 9.82% which is still not in compliance with the public shareholding spread requirement pursuant to Rule 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”).

In this regard, Bursa Securities had via its letter dated 12 June 2014 granted the Company a further extension of time of six (6) months until 4 December 2014 to comply with the public shareholding spread requirement.

The Company is considering various options to address the shortfall in the public spread which may include, inter-alia, a disposal of VCB shares by the major shareholders and/or private placement of new VCB shares by VCB. An application to Bursa Securities to seek an extension of time to comply with the Public Shareholding Spread Requirement will be made in due course.

The Company will make the necessary announcements in relation to the status of its efforts to comply with the Public Shareholding Spread requirement in accordance with the listing requirements.

  1. MAHB and the Joint Principal Advisers must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue;
  2. MAHB and the Joint Principal Advisers to inform Bursa Securities upon the completion of the Proposed Rights Issue;
  3. MAHB to furnish Bursa Securities with a written confirmation of the Company’s compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue is completed;
  4. MAHB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at extraordinary general meeting for approving the Proposed Rights Issue; and
  5. If applicable, payment of additional listing fee based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable.
