Mohamed Basir, Ivevei Upatkoon, Dato’ Beh Huck Lee, Lim Guat Im, Lim Kin Choo,
Lim Pei Lien and Goh Tock Nong for the proposed acquisition of the entire
equity interest in Alanya Marine Ventures Sdn Bhd for a total consideration of
up to RM94,580,513.20 which
will be satisfied via a combination of cash amounting up to RM38,250,000 and the issuance of
43,331,164 new ordinary shares of RM0.50
each in WTK (“WTK Shares”) at an
issue price of RM1.30 per WTK Share (“SSA”),
upon the terms and subject to the conditions as set out in the SSA.
