DescriptionACQUISITION OF 40% EQUITY INTEREST IN KUANTAN PAHANG HOLDING SDN BHD

IJM Land Berhad has on 14 July 2014 entered into a Sale and Purchase Agreement with SP Setia Berhad (“SP Setia”) to acquire 40 ordinary shares of RM1 each representing 40% of the issued and paid-up share capital of Kuantan Pahang Holding Sdn Bhd (“KPH”) (“the Sale Shares”) for a total cash consideration of RM40, and to repay SP Setia the advances (with accrued interest) made to KPH as a corporate shareholder totalling to RM9,719,822.81 (“the Acquisition”).

The Acquisition is conditional upon obtaining the consent in principle from other existing shareholders of KPH on the sale and transfer of the Sale Shares to the Company and on the waiver of their pre-emption rights to acquire the Sale Shares.

KPH was incorporated in Malaysia on 25 July 2012 with an authorised share capital of RM100,000 divided into 100,000 ordinary shares of RM1 each and an issued and paid-up share capital of RM100 comprising 100 ordinary shares of RM1 each. KPH is an investment holding company and holds 51% equity interest in Malaysia-China Kuantan Industrial Park Sdn Bhd (“MCKIP”).

MCKIP was incorporated in Malaysia on 23 January 2013 with an authorised share capital of RM100,000 comprising 100,000 ordinary shares of RM1 each, of which 100 ordinary shares of RM1 each have been issued and fully paid-up. MCKIP is an entity formed for the purpose of facilitating the cooperation arrangement between the Government of Malaysia and Government of the People’s Republic of China, to develop a piece of land measuring approximately 729 acres located within the East Coast Economic Region (ECER) Special Economic Zone in the State of Pahang Darul Makmur.

The Acquisition further accentuates the Group’s intention to diversify its existing pre-dominantly residential and commercial development projects portfolio and also to diversify its geographical presence into the state of Pahang Darul Makmur, following the acquisition of about 273.214 hectares of land, mainly industrial land, in the vicinity.

The Acquisition will not have any significant effect on the earnings and net assets per share or gearing of the Company for the financial year ending 31 March 2015.

None of the Directors or major shareholders of the Company, or persons connected with them, has any direct or indirect interest in the Acquisition.
