We refer to the announcements made by RHB Investment Bank, on behalf of the Board on 27 March 2014 and 20 May 2014 in relation to, inter-alia, the Proposed Exchangeable Bonds Issuance. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the announcements dated 27 March 2014 and 20 May 2014 in relation to the Proposals. For information purposes, the Exchangeable Bonds shall hereinafter be referred to as the Exchangeable MTNs. On behalf of the Board, RHB Investment Bank wishes to announce that the SC had, vide its letter dated 25 July 2014, given its authorisation under subsection 256C(1) of the CMSA, for Proposed Exchangeable MTNs Issuance, subject to the following conditions:- (a) Where any issue of Exchangeable MTNs includes a term that prohibits the sale or transfer of the Exchangeable MTNs:- (i) the Exchangeable MTNs shall not be issued to a related corporation of the Company; (ii) where the principal adviser(s) is also the lead arranger(s), the Exchangeable MTNs shall not be issued solely to the principal adviser(s); and (iii) where the principal adviser(s) is not the lead arranger(s), the Exchangeable MTNs shall not be issued solely to the principal adviser(s) or the lead arranger(s); (b) RHB Investment Bank and the Company to ensure that full disclosure is made in writing to the holder of the Exchangeable MTNs (“MTN Holder”) with regard to the ongoing civil suit between Intel Capital Corporation and the Company to enable them to make an informed investment decision; (c) RHB Investment Bank and the Company to disclose all pertinent information to the MTN Holder with regard to any charge or conviction or whether any civil action has been instituted against the Company or any of its directors for breaches of securities law; and (d) RHB Investment Bank and the Company, where applicable, shall comply with the standard conditions and continuing obligations as stipulated in the SC’s Guidelines on Private Debt Securities.
