We refer to our announcement on 28 April 2014 in relation to the proposed strategic partnership between AMMB Holdings Berhad (“AMMB”) and MetLife, Inc. in AmLife Insurance Berhad (“AmLife”) and AmFamily Takaful Berhad (“AmTakaful”), which involves the sale of equity interests held by AMAB Holdings Sdn Bhd (“AMAB”), a wholly-owned subsidiary of AMMB, in each of AmLife and AmTakaful to MetLife International Holdings, Inc., (“MetLife”), a wholly-owned subsidiary of MetLife, Inc. (the “Share Sale”) for an aggregate cash consideration of RM812 million (the “Sale Consideration”), subject to adjustment on completion. Further thereto, we are pleased to announce that the Share Sale was completed on 30 April 2014 after fulfilment of the conditions precedent. The final Sale Consideration will be determined on conclusion of the review of the closing net assets of AmLife and AmTakaful as at 30 April 2014 by the auditors jointly appointed by the parties. Any adjustment to the Sale Consideration will be announced accordingly. This announcement is dated 30 April 2014. | |
