References are made to the Company’s announcements on 5 February 2014 and 28 February 2014 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 27 March 2014, approved the listing of: (i) up to 45,400,000 new Smartag Shares to be issued pursuant to the Proposed Private Placement; and (ii) such number of new Smartag Shares representing up to thirty percent (30%) of the issued and paid-up ordinary share capital of Smartag (excluding treasury shares) to be issued pursuant to the exercise of SIS options under the Proposed SIS. The approval by Bursa Securities for the Proposed Private Placement is subject to the following conditions: (i) Smartag and TA Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements (“Listing Requirements”) pertaining to the implementation of the Proposed Private Placement; (ii) Smartag and TA Securities to inform Bursa Securities upon completion of the Proposed Private Placement; (iii) Smartag to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and (iv) Smartag to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders in the EGM approving the Proposed Private Placement and Proposed Private Placement II. The approval by Bursa Securities for the Proposed SIS is subject to the following condition: (i) TA Securities is required to submit a confirmation to Bursa Securities of full compliance of the SIS pursuant to Rule 6.44(1) of the Listing Requirements and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders approving the Proposed SIS in the EGM.
