Takaso Resources Berhad (“TRB”) is pleased to announce that it has today, 4 January 2013, entered into a Memorandum of Collaboration (“MOC”) with Pesaka Astana (M) Sdn. Bhd. (“PASB “) to negotiate further on project collaboration with PASB. Information on PASB PASB is a company incorporated under the laws of Malaysia. PASB is involved, inter alia, in the business of manufacturing, assembling or otherwise customizing vehicles of various specifications including to customize and to supply vehicles required by its customers including the Government of Malaysia. Salient Terms of the MOC (a) TRB and PASB (the “Parties”) shall share information and discuss, negotiate or otherwise agree on the scope of responsibilities of the respective Parties in respect of the various projects granted to PASB; (b) Any and all such discussions and negotiations shall be carried out in good faith in order to create a win-win situation for both Parties; (c) If required or mutually agreed, the Parties may choose to form a joint venture company to carry out the projects or if terms can be mutually agreed and subject to approval of advisers and the relevant authorities, PASB or part thereof may be injected into TRB in order to carry out the projects more efficiently; and (d) Neither shall incur any material liability from the date of the MOC which may have or create a detrimental obligation without the knowledge of the other Party and neither Party shall permit any new liens or encumbrances to arise that is expected to have a material detrimental effect except in the ordinary course of business or by effect of applicable laws. The MOC shall be effective from the date of execution thereof and shall remain in full force until the earlier of the following: (i) the execution of any definitive agreement between the Parties; or (ii) the mutual termination of the MOC by the Parties.
