Description	MWE HOLDINGS BERHAD (“MWE” OR THE “COMPANY”) PROPOSED DISPOSAL BY DAVEX HOLDINGS BERHAD (“DHB”), A WHOLLY-OWNED SUBSIDIARY OF MWE OF ITS ENTIRE 93.06% EQUITY INTEREST IN DAVEX MALAYSIA SDN BHD (“DMSB”) TO GLC (ASIA) HOLDINGS LIMITED (“GAH” OR THE “PURCHASER”) FOR A MAXIMUM CASH CONSIDERATION OF RM170,297,327 (“PROPOSED DISPOSAL”)
The definitions and abbreviations used in this announcement are the same as those previously defined in our announcements dated 20 September 2012, 25 September 2012, 16 November 2012, 19 November 2012, 6 December 2012 and 19 December 2012 in relation to the Proposed Disposal (“Announcements”). Further to the Announcements, Inter-Pacific Securities Sdn. Bhd., on behalf of the Board of Directors of MWE is pleased to announce that the conditions precedent set out in Section 2.1.2 (i) to (viii) of the Circular dated 19 November 2012 have been satisfied by the Closing Date (i.e. 31 December 2012). Concurrently, RM9.31 million and RM2.79 million have been deposited into the First Escrow Account and Temporary Holdback Escrow Account respectively and DHB has received the balance of the Consideration of RM147.13 million. The remaining balance of the Consideration of RM11.07 million will be released by the escrow agent to DHB on or before 7 January 2013. Accordingly, the Proposed Disposal is deemed completed on 31 December 2012. This announcement is dated 31 December 2012.
