Introduction The Board of Directors of Prinsiptek Corporation Berhad ("PCB") wishes to announce that Antap Wangsa Holdings Sdn. Bhd. ("AWHSB"), a wholly-owned subsidiary company of Prinsiptek (M) Sdn. Bhd. ("PST"), which in turn is a wholly-owned subsidiary of PCB, had on 8 November 2012 submitted its application for striking-off the name of�company�from the Register under Section 308 of the Companies Act, 1965 to Companies Commission of Malaysia ("CCM"). Details of AWHSB AWHSB was incorporated in Malaysia under Companies Act, 1965 on 27 March 2000 as a private limited company with the prinsipal activity of project contractors. AWHSB has an authorised share capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each, of which 100,000 ordinary shares of RM1.00 each have been issued and fully paid-up. Rationale of the Striking-off AWHSB has been dormant since year 2007 and has no intention to carry on its business or operation in the future. Details of the Striking-off PST has vide its Directors' Circular Resolution dated�22 October 2012�agreed to strike-off of AWHSB, a wholly-owned subsidiary company under Section 308 of the Companies Act, 1965. Financial Effect on the Striking-off The Striking-off of AWHSB is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders' shareholding of�PCB�for the financial year ending 31 December 2012. Approval Required The striking-off of AWHSB is subject to the approval of the CCM, which is expected to be obtained within�three (3) to six (6) months from the date of application of the strike-off. Statement by the Board of Directors The Board of Directors of PCB (save for Dato' Foo Chu Jong and Foo Chu Pak who are deemed interested in the striking-off) is of the opinion that the striking-off of AWHSB is in�the best interest of the PCB Group.
