DescriptionDisposal of 37.49% Equity Interest in Spirolite (M) Sdn Bhd

The Company has today entered into a Share Sale and Purchase Agreement to dispose of its entire 37.49%�equity interest comprising�1,940,600 ordinary shares of RM1 each�in Spirolite (M) Sdn Bhd (“SSB”) to Syn Tai Hung Trading Sdn Bhd (“STHT”) for a total cash consideration of RM9,373,611 (“the Disposal”).

The principal activities of SSB are manufacturing and trading of spiral pipes, straight pipes, tubes, tanks and containers.

The Disposal is conditional upon STHT obtaining the approval from the Ministry of International Trade and Industry in relation to a manufacturing license of SSB, within two (2) months from the date of the SPA or such further period as may be mutually agreed in writing.

None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Disposal, and no approval of shareholders is required. �The Disposal will not have any significant effect on the earnings or net assets per share of the Company for the financial year ending 31 March 2013.
