Description: Further to the announcement by MBf Holdings Berhad ("MBfH" or "the Company") dated 27 May 2011, MBfH wishes to announce that it has today received Bursa Securities' letter dated 8 July 2011, rejecting its application for a further extension of time until 31 December 2011,to comply with the public shareholding spread.
As the extension of time has not been granted, Bursa Securities may:-
a. Take or impose for a breach of paragraph 8.02(1) of the LR any type of action or penalty pursuant to paragraph 16.19 of the LR; and
b. Suspend trading in the securities of MBfH pursuant to paragraph 16.02 of the LR.
The percentage of MBfH's public shareholding as at 30 June 2011 was 16.30%.
MBfH's request for extension of time until 31 December 2011 was to allow Tan Sri Datuk Dr Ninian Mogan Lourdenadin ("Tan Sri Mogan") who has beneficial interest over 462,996,991 MBfH shares representing 81.22% of the issued and paid up shares of MBfH, held through Tor Private Limited, Nadin Holdings Sdn Bhd, Impact Action Sdn Bhd and Market Share Investments Limited, to place out his shares so as to enable MBfH to comply with the public shareholding spread requirement. Until now Tan Sri Mogan was unable to place out his MBfH shares due to the unfavourable price of MBfH shares in this generally soft investment market.
In an attempt to improve its share price so as to explore a share raising exercise to formulate a rectification plan, the Company undertook a revaluation exercise of its properties recently which improved its net assets by approximately RM0.45 per share. Unfortunately the property revaluation exercise failed to create any favourable impact on its share trading price.
As of todate the Company has yet to formulate a rectification plan.
