1. 227.6390 HECTARES (686.06 ACRES) OF LAND FROM LIM KOK WAH & COMPANY SDN BHD; AND
2. 82.3723 HECTARES (203.546 ACRES) OF LAND FROM LIM CHONG & COMPANY SENDIRIAN BERHAD
Description: Addition information in reply to the letter from Bursa Malaysia Securities Berhad dated 24 February 2011.
Query Letter content: We refer to the Company's announcement dated 23 February 2011, in respect of
the aforesaid matter.
In this connection, kindly furnish Bursa Malaysia Securities Berhad ("Bursa
Securities") with the following additional information for public release:-
The basis in deriving the purchase consideration at a rate of RM70,000 per acre;
The expected completion date of the lands valuation undertaken by JS Valuer
Property Consultants (Melaka) Sdn Bhd. If the valuation has been completed, to
state the date and method of valuation and quantification of the market value
as appraised by the Valuer;
The breakdown of the source of funding and to quantify the increase in gearing;
Clarification on why only certain parts of the LKW Land and LC Land are to be
excluded from the Sale and Purchase Agreements ("SPAs") in the event of
termination/ non-completion of the said SPAs, instead of cessation of the said
SPAs altogether;
Revenue and profit contributions by the oil palm business undertaken by TESB to
your Group based on the latest audited accounts;
To further elaborate on how the Proposed Acquisition is expected to contribute
positively to your Company's future earnings;
Further elaboration on "normal economic risk" and "inherent risk factors" and
the risk factors in relation to the transaction;
Prospects of the oil palm industry;
The expected date for submission of the application to the Estate Land Board;
and
To confirm whether the Proposed Acquisition will signify the diversification in
operations by your Company pursuant to Paragraph 10.13 of the Main Market
Listing Requirements.
