Contents: The Board of Directors ("Board") of Texchem Resources Bhd. ("TRB") refers to the announcements made by TRB on 11 January 2011 and 14 January 2011 in relation to the Proposed Disposal.
The Board is pleased to announce that the Singapore Exchange Securities Trading Limited ("SGX-ST") has pursuant to its letter dated 26 January 2011 addressed to Texchem-Pack Holdings (S) Ltd. ("TXPHS")'s solicitor informed that it has no objection to TXPHS's application for the waiver of Rule 1014(2) of the SGX-ST Listing Manual (i.e. waiver of the requirement to obtain shareholders' approval), subject to:
(a) an immediate announcement that a waiver of Rule 1014(2) of the SGX-ST Listing Manual has been granted, in accordance with Rule 107 of the Listing Manual, disclosing the reasons for seeking the waiver; and
(b) an announcement of the opinion of the Board of Directors of TXPHS that there will be no material change in the risk profile of TXPHS arising from the Proposed Disposal, and the basis of the opinion.
A copy of the announcement made by TXPHS to the SGX-ST on even date in relation to the above subject matter is attached below.
