Contents: Further to the announcement dated 11th June 2010, the Board of Directors of Envair wishes to announce that its wholly-owned subsidiary, Quest Liquid Separation Sdn Bhd ("QLS") has been wound-up by the High Court of Malaya Kuala Lumpur and the Official Receiver of the States of Malaya has been appointed as Liquidator.
The details are as follows:
1. The date of the appointment of the liquidator is 1st July 2010.
2. QLS is not a major subsidiary of Envair.
3. Based on the audited financial statements of QLS as at 31.12.2009, the net book value of the affected assets is RM32,670.
4. The winding up petition was filed by Telextral Sdn Bhd ("TSB") due to the failure of QLS to settle an outstanding debt of RM230,160 under Section 218(2) of the Companies Act 1965. The Winding-Up Petition No. 28 NCC -298-10 was served on 22nd April 2010. The Order was received on 20th July 2010.
5. As the debt has been incorporated in the accounts, the financial impact of the appointment of Liquidator is the loss of investment in QLS amounting to RM103,000. There is no material impact on the operation of the Group.
6. The expected loss arising from the appointment of receiver is RM176,734 which is not material to the Group.
7. Envair would be seeking its solicitor's advice on the necessary course of action to be taken.
