The Board of Directors of Elsoft (“Board”) wishes to announce that the Company had on 1 December 2014, entered into a conditional subscription agreement (“Subscription Agreement”) with BHSB, the existing shareholders of BHSB, namely Butterfly House Holdings Sdn Bhd (“BHHSB”), Khor Choong Chuan and Chin Boon Tatt (collectively referred to as the “Founding Shareholders”), and the new shareholders of BHSB, namely Golden Fresh Sdn Bhd, NRS Process System Sdn Bhd and Medispec (M) Sdn Bhd (collectively together with Elsoft are referred to as the “Investors”) to subscribe for 3,600,000 new BHSB Shares, representing approximately 21.16% of the issued and paid-up share capital of BHSB upon the completion of the Proposed Subscription, at an issue price of RM1.00 per Share for a total cash consideration of RM3,600,000 (“Subscription Consideration”). Details of the Proposed Subscription are set out in the attached file.
