Further to the announcement made on 3 December 2014 on the termination of the Share Sale Agreement (SSA) between the Company and the vendors of Bayam Enterprise Sdn Bhd, we wish to furnish the additional information in relation to the Proposals: (i) In view of the declining petroleum product prices worldwide, the Company opines that the prospects of the oil and gas as well as the peripheral industries going forward may not be as robust as anticipated earlier. Therefore, the Company decided not to pursue any exposure into the oil and gas related service industry at this juncture, and as such has terminated the Proposed Acquisition. (ii) As the termination process of the SSA was conducted based on mutual consent and was carried out amicably, there is no necessity of pursuing legal action between the parties. (iii) There is no financial impact as a result of the termination on earnings per share and net asset per share of the Company. The Company however wishes to inform the public that it will continue to pursue suitable business(es) for the purpose of acquisition to enhance the profitability of the Company going forward. Appropriate disclosure and announcement shall be made to Bursa Malaysia in due course in accordance to the Listing Guidelines. This announcement is dated 4 December 2014.
