The Company announces that on 4 December 2014 it reached an agreement to acquire an additional 3,466,280 shares in The Narborough Plantation, PLC currently held by Puan Sri Datin Hamidah Bt Abdul Rahman for a total cash consideration of RM24,263,820. Upon the completion of the share transfer, the Company will become the largest shareholder of The Narborough Plantation, PLC, holding 75.8% of the ordinary shares listed on the London Stock Exchange effectively reducing the percentage of shares in public hands to 24.2%. As a result of the acquisition, the Company is required to make a Mandatory General Offer for all of the remaining issued shares in Narborough under the United Kingdom Takeover Code, Rule 9 of the City Code on Takeovers and Mergers, United Kingdom. This offer will be made on an unconditional basis and the offer price will be at the election of each receiving shareholder either (i) 1.29 per share (being the sterling equivalent of RM 7.00 as at 4 December 2014); or (ii) RM 7.00 per share.
