Narra Industries Berhad (“Narra” or the “Company”) had, at the Annual General Meeting held on 17 October 2013, obtained a mandate from its shareholders for Narra and its subsidiaries (“Narra Group”) to enter into recurrent related party transactions of a revenue or trading nature (“RRPT”) which are necessary for the day-to-day operations of Narra Group with various related parties.
On 11 September 2013, Narra announced, amongst others, the proposed acquisitions by Narra of the entire:
(collectively referred to as the “Proposed Acquisitions”).
Upon completion of the Proposed Acquisitions, HIMSB and HCement will become wholly-owned subsidiaries of Narra (Narra, HIMSB and HCement are collectively referred to as “Enlarged Narra Group”). Presently, in their ordinary course of business, HIMSB and its subsidiaries (“Hume Concrete Group”) and HCement are transacting with their related parties. Subsequent to the completion of the Proposed Acquisitions, Narra envisages that, in the ordinary course of their business, Hume Concrete Group and HCement will continue to enter into RRPT with their related parties.
In addition to the existing mandate, the Company now proposes to seek approval from its shareholders for another mandate to enter into additional RRPT which are necessary for the day-to-day operations of the Enlarged Narra Group upon completion of the Proposed Acquisitions with certain classes of related parties (“Proposed New Shareholders’ Mandate”) at the forthcoming Extraordinary General Meeting to be convened.
A circular containing the details on the Proposed New Shareholders’ Mandate will be despatched to the shareholders of the Company in due course.
