The abbreviations and words used throughout this Announcement shall have the same meanings as defined in the Debt Restructuring Agreement (“DRA”) dated 12 September 2011 and the announcement on the Proposed Regularisation Plan dated 21 December 2011 (“PRP Announcement”) unless the context otherwise requires or defined herein. Reference is made to the PRP Announcement and the announcement on 2 August 2012 in relation to the conditional acceptance by Haisan of the letters of offers for the purchase of certain assets of the Group by two parties (“Proposed Disposals”). On behalf of the Board of Directors of Haisan, Public Investment Bank Berhad wishes to announce that Haisan and the Lenders have mutually agreed to allow the DRA to lapse on 11 September 2012 in view of the contemplated Proposed Disposals. Currently, the Company and the Lenders, with the assistance of the Corporate Debt Restructuring Committee are in the process of negotiation to formulate a new debt settlement agreement. When the outcome of the negotiation with the Lenders is finalised, announcement(s) will be made to Bursa Malaysia Securities Berhad (“Bursa Securities”) accordingly. In addition, the Proposed Regularisation Plan would need to be revised, to incorporate for changes to its structure and when completed, the revised plan will be submitted to Bursa Securities in due course.
