Unless otherwise defined, abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the Company’s announcement dated 29 December 2014, 6 February 2015, 11 February 2015, 13 February 2015, 16 February 2015, 4 March 2015, 16 March 2015, 23 March 2015, 25 March 2015 and 6 April 2015.
The Board of Directors of Yokohama wishes to announce that the Company has today received the attached press release from Mercury Securities Sdn Bhd, on behalf of the Offeror, informing that the Offeror has received valid acceptances in respect of the Offer resulting in the Offeror and its PACs holding not less than nine-tenths (9/10) in the nominal value of the Offer Shares as at 5.00 p.m. (Malaysia time) on 29 April 2015.
The press release states that:
(i) As set out in Section 5 of the offer document dated 4 March 2015, the Offeror intends to invoke the provisions under Section 222(1) of the Capital Markets and Services Act, 2007 (“CMSA”) to compulsorily acquire any remaining Offer Shares for which acceptances have not been received as at 5 May 2015, being the Final Closing Date. Accordingly, the Offeror will, within two (2) months from today, proceed to exercise its right to compulsorily acquire any remaining Offer Shares for which acceptances have not been received, in accordance with the provisions of the CMSA.
(ii) As announced on 25 March 2015, Bursa Malaysia Securities Berhad (“Bursa Securities”) will suspend the trading in Yokohama Shares upon expiry of five (5) market days from the Final Closing Date i.e. with effect from 9.00 a.m. (Malaysian time) on Wednesday, 13 May 2015. The suspension will result in Yokohama Shares no longer being traded on Bursa Securities and accordingly, the holders of Yokohama Shares who have not accepted the Offer will not be able to realise their investments in Yokohama Shares through trading on Bursa Securities.
(iii) The Offer will remain open for acceptances up to 5.00 p.m. (Malaysian time) on Tuesday, 5 May 2015. No further extension of the closing time and date for the Offer will be made.
