The Board of Directors of AppAsia Berhad (Formerly known as Extol MSC Berhad) (“AppAsia” or “the Company”) wishes to announce that AppAsia International Sdn Bhd, a wholly-owned subsidiary of the Company (“AppAsia International”) had on 27 April 2015 incorporated a new subsidiary in Australia, namely AppAsia International Pty Ltd (Registration No. ACN 605481285) (“AIPL”) with paid up ordinary share capital of AUD 1.00 each. Following the incorporation, AIPL would become a wholly-owned subsidiary of AppAsia International.

The intended principal activity of AIPL is to deal with online trading, e-commerce, mobile application solutions and other related business.

The incorporation of the above subsidiary is not expected to have any material effect on the earnings and net assets of the Company for the financial year ending 31 December 2015 and is not subject to the approval of the shareholders of the Company or other relevant authorities.

None of the directors and/or major shareholders of the Company and/or persons connected with them has any interest, direct or indirect in the above transaction.

Pursuant to the HOA, VHB and the ultimate controlling shareholders of CSL have jointly agreed to negotiate exclusively in good faith the detailed terms and conditions of the proposals with the intention to finalise and enter into the relevant definitive agreements within sixty (60) days from the date of the HOA or such other longer period as the parties may mutually agree upon.
