| Description | KEY ALLIANCE GROUP BERHAD (FORMERLY KNOWN AS DVM TECHNOLOGY BERHAD) (“KAG” OR THE “COMPANY”) (I) PROPOSED PAR VALUE REDUCTION; (II) PROPOSED SHARE ISSUANCE SCHEME; AND (III) PROPOSED AMENDMENT TO THE MEMORANDUM OF ASSOCIATION OF KAG (COLLECTIVELY REFERRED TO AS THE “PROPOSALS”) |
On behalf of the Board of Directors of KAG (“Board”), TA Securities Holdings Berhad wishes to announce that the Company proposes to undertake the following proposals:
(i) proposed reduction of the issued and paid-up share capital of the Company pursuant to Section 64(1) of the Companies Act, 1965 involving the cancellation of RM0.05 of the par value of the ordinary shares of RM0.10 each in KAG to RM0.05 each in KAG (“Proposed Par Value Reduction”);
(ii) proposed establishment and implementation of a share issuance scheme of up to thirty percent (30%) of the Company’s issued and paid-up share capital (excluding treasury shares, if any) at any one time during the duration of the scheme (“Proposed SIS”), for the Directors and employees of KAG and its subsidiaries (“KAG Group”) (excluding dormant subsidiaries) who fulfil the eligibility criteria; and
(iii) proposed amendment to the Memorandum of Association of the Company to facilitate the Proposed Par Value Reduction (“Proposed Amendment”),
(Collectively referred to as the “Proposals”)

Star Acres Sdn Bhd is RM400,000 comprising 400,000 ordinary shares of RM1.00 each and
its paid-up share capital is RM2.00 comprising 2 ordinary shares of RM1.00 each.
Star Acres Sdn Bhd was
incorporated on 25th November 2014. It is currently dormant and is
intended for future use by MQ group.
The said acquisition will
not have any material financial effect on earnings and net assets of the
Company for the financial year ending 31 December 2015.
None of the Directors and
substantial Shareholders of the Company and the persons connected to them has
any direct and indirect interest in the said acquisition.
