Reference is made to the litigation involving Sabah Forest Industries Sdn Bhd (“SFI”) and the Company’s subsidiary, UNP Plywood Sdn Bhd (“UNP”) (“UNP Suit”) in the Company’s latest financial results announcement for the quarter ended 30 September 2014.
a. As at 13 October 2014, the amount kept in the Escrow Account maintained with HSBC (Malaysia) Trustee Berhad (since 2008 and pursuant to the Amended Escrow Agreement dated 10 March 2008) is RM145,024,819.56 (“Said Sum”). b. The Said Sum together with interests thereon will be maintained and kept in the Esrcow Account without any deduction or withdrawal thereon whatsoever until all appeal avenues have been exhausted and a final assessment is granted for the UNP Suit (“Final Assessment”). c. The Escrow Account is to be used for or towards settlement of the Final Assessment until the Final Assessment is fully satisfied. LFIB had in 2007, disposed of its 97.78% equity interest in SFI to Ballarpur (“Disposal”). In LFIB’s announcement to the Exchange, LFIB has informed that under the Disposal, Ballarpur had retained from the disposal consideration, an amount for the satisfaction of the UNP Suit. As of to date, both UNP’s and SFI’s Notices of Appeal is pending hearing by the Judge in Chambers of the Kota Kinabalu High Court which has been fixed on 15 December 2014.
