Sime Darby Berhad (Sime Darby) wishes to announce the incorporation of Sime Darby Auto Kia Co., Ltd. (SDAK) in the Republic of Taiwan on 15 May 2014. The approval of the incorporation of SDAK issued by the Taipei City Government was received by Sime Darby Auto Bavaria Sdn Bhd (formerly known as Sime Darby Motor Division Sdn Bhd), an indirect wholly-owned subsidiary of Sime Darby, on 16 May 2014. SDAK was incorporated as a company limited by shares with an authorised share capital of NT$30,800,000 divided into 3,080,000 common shares of NT$10 each, of which 3,018,000 common shares of NT$10 each have been issued and fully paid-up. The entire issued and paid-up share capital of SDAK of NT$30,180,000 (approximately RM3.3 million) was subscribed and is held by Sime Darby Motor Group (Taiwan) Sdn. Bhd. (formerly known as Hyundai-Sime Darby Engine Manufacturing Sdn. Bhd.), an indirect wholly-owned subsidiary of Sime Darby. The principal activities of SDAK will be retail of vehicles, parts and accessories and repairs and maintenance of vehicles. The incorporation of SDAK is not expected to have a material effect on the earnings or net assets of the Sime Darby Group for the financial year ending 30 June 2014. None of the directors or substantial shareholders of Sime Darby or persons connected to them has any interest, direct or indirect, in the said incorporation. This announcement is dated 19 May 2014.
