The Board of Directors of Focal is pleased to announce the recommendation for the declaration and payment of a first and final tax exempt single tier dividend of 1% for the financial year ended 30 September 2013, which is subject to the approval of the shareholders of Focal at its forthcoming Fortieth Annual General Meeting.
The date of entitlement and payment in respect of the aforesaid dividend will be determined and announced in due course.

DescriptionPerduren (M) Berhad (“Perduren” or the “Company”)
Conditional Take-Over Offer from Hong Leong Investment Bank Berhad on behalf of TS Law Group Sdn Bhd ("Offeror") to acquire all the ordinary shares of RM1.00 each in Perduren (“Perduren Shares”) not already held by the Offeror (excluding Perduren Shares which are held as treasury shares) (“Offer Shares”) for a cash consideration of RM1.10 per Perduren Share ("Offer")

We refer to the announcement dated 26 November 2013 on the receipt of the notice of conditional take-over offer in relation to the Offer.

The Board of Directors of Perduren ("Board") wishes to announce that the Board has deliberated on the Offer and does not intend to seek another person to make a take-over offer for Perduren Shares.

In accordance with the Malaysian Code on Take-Overs and Mergers 2010, the Board will appoint an Independent Adviser to advise the Board and holders of the Offer Shares on the reasonableness and fairness of the Offer. The Board will make further announcement upon appointment of the Independent Adviser.
