On behalf of the Board of Directors of KCB, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 10 May 2013 (which was received on 13 May 2013), resolved to approve the listing application submitted on 6 February 2013, the details are as follows:- i. Admission to the official list and the listing of and quotation for up to 1,015,029,840 Warrants pursuant to the Proposed Rights Issue with Warrants; ii. Listing of and quotation for up to 507,514,920 Rights Shares pursuant to the Proposed Rights Issue with Warrants; iii. Listing of and quotation for 2,899,831,854 Settlement Shares pursuant to the Proposed Capitalisation to TSCLK; iv. Listing of and quotation for 322,747,894 Settlement Shares pursuant to the Proposed Capitalisation to FACBII; and v. Listing of and quotation for up to 1,015,029,840 new KCB Shares to be issued arising from the exercise of the Warrants. The approval by Bursa Securities is subject to the following conditions:- i. KCB and RHBIB must fully comply with the relevant provisions under the Main Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposals; ii. KCB and RHBIB to inform Bursa Securities upon the completion of the Proposals; iii. KCB must comply with the public shareholding spread requirements pursuant to Paragraph 8.02 of the Listing Requirements, upon the completion of the Proposals; iv. KCB and RHBIB to furnish the following to Bursa Securities prior to the quotation of the Settlement Shares and the Rights Shares:-
b) A certified true copy of the resolutions passed by the shareholders approving the Proposals; and
