Description: The Board of Directors of Adventa wishes to append herewith the reply to query on the announcement dated 23 July 2012 pertaining to the Acquisition.
Query Letter content: We refer to the Company's announcement dated 23 July 2012, in respect of the
aforesaid matter.
In this connection, kindly furnish Bursa Malaysia Securities Berhad ("Bursa
Securities") with the following additional information for public release:-
The salient terms of the agreement with Genson Technology Inc.;
The directors and major shareholders of Genson Technology Inc. together with
their respective shareholdings;
The basis to arrive at the purchase consideration other than willing-buyer
willing-seller basis, including justification on the purchase consideration
that is equivalent to 1.36 times the net assets of Electron Beam based on the
latest management accounts;
Further detail description on the businesses and principle activities of
Electron Beam and Lucenxia;
The rationale for undertaking the Proposed Acquisition in view that there is an
offer to acquire the business and undertaking, including all assets and
liabilities of the Company;
Commentary on the financial performance of Electron Beam; and
The factors that were taken into consideration by the Board in forming the
opinion that the Proposed Acqusition is in the best interests of the Group.
