Description: This announcement is in reply to Bursa Malaysia Berhad's query letter dated 2 May 2012 pertaining to Stemlife Berhad's announcement dated 27 April 2012 on the above-mentioned disposal.
Query Letter content: We refer to your announcement dated 27 April 2012 in respect of the above
captioned matter.
In this connection, kindly furnish Bursa Securities with the following
additional information for public release :-
1. The date on which the terms of the Disposal were agreed upon.
2. The intented aplication of the sale proceeds and the breakdown thereof,
including the timeframe for full utilisation of proceeds and details of Pt
Prodia Widyahusada.
3. The particulars of all liabilities to be assumed by the purchasers arising
from the Disposal.
4. The terms of any arrangement for payment on a deferre basis.
5. The effect of the Disposal on the gearing of the Stemlife Berhad ("STEMLFE")
group.
6. A statement setting out the following:-
(a) whether the audit committee of STEMLFE is of the view that the Disposal
is:-
(i) in the best interest of STEMLFE;
(ii) fair, reasonable and on normal commercial terms; and
(iii) not detrimental to the interest of the minority shareholders,
together with the basis for its views;
(b) where the audit committee has sought an independent advice in forming its
views, a statement to that effect; and
(c) where the views of the audit committee are different from the opinion of
the independent adviser, if any, the reasons for the difference.
7. The total amount transacted with the Interested Director for the preceeding
years.
