Contents: ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS OF KIB ("WARRANTS") PURSUANT TO THE BONUS ISSUE OF UP TO 69,258,434 NEW ORDINARY SHARES OF RM0.10 EACH IN KIB ("KIB SHARE(S)") ("BONUS SHARE(S)"), ON THE BASIS OF ONE (1) BONUS SHARE FOR EVERY FIVE (5) EXISTING KIB SHARES HELD IN KIB AT 5.00 P.M. ON 15 DECEMBER 2011 ("ENTITLEMENT DATE") ("BONUS ISSUE") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 13 FEBRUARY 2007 ("DEED POLL") ("ADJUSTMENTS").
Kindly be advised of the following :
1) The above Company's securities will be traded and quoted [ "Ex - Adjustment" ]
as from : [ 13 December 2011 ]
2) The last date of lodgement : [ 15 December 2011 ]
Remarks :- Pursuant thereto, the warrantholders who intend to exercise their rights to subscribe for new KIB Shares and to qualify for the entitlement to the Bonus Shares are required to lodge their duly completed exercise forms together with the requisite payment in accordance with the provisions of the Deed Poll to KIB's Share Registrar, Tricor Investor Services Sdn Bhd not later than 5.00 p.m. on 25 November 2011.
The warrantholders who do not exercise their Warrants by 5.00 p.m. on 25 November 2011 and whose name appeared in the Record of Depositors for Warrants on the Entitlement Date would be entitled to the Adjustments pursuant to the provisions of the Deed Poll.
The maximum number of additional Warrants which may be listed and quoted is 21,558,002 Warrants.
In accordance with the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities"), the additional Warrants will be listed and quoted on 16 December 2011, being one (1) market day after the Entitlement Date.
The Share Registrar of KIB will issue and despatch the notices of allotment of the additional Warrants to the entitled warrantholders of KIB latest on 22 December 2011, being four (4) market days after the listing of and quotation for the additional Warrants on the ACE Market of Bursa Securities.
For illustrative purpose, if Mr X purchases 500 KARYON-WA shares on cum basis on 12 December 2011, Mr X should receive 500 shares on 15 December 2011. As a result of the corporate exercise of KARYON INDUSTRIES BERHAD, a total of 600 KARYON-WA shares will be credited into Mr X's CDS account on the night of 15 December 2011 being the Book Closing Date. Therefore, Mr X can sell the total shares of 600 on or after the Ex-Date ie from 13 December 2011 onwards."
