Description: The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the announcement dated 11 November 2011 in relation to the Proposed Acquisition of Land and Proposed Acquisition of Shares.
We refer to our announcement dated 11 November 2011 in relation to the above subject matter. Further to Bursa Malaysia Securities Berhad's letter dated 15 November 2011, we are pleased to furnish the additional information as attached.
This announcement is dated 16 November 2011.
Query Letter content: We refer to the Company's announcement dated 11 November 2011, in respect of
the aforesaid matter.
In this connection, kindly furnish Bursa Malaysia Securities Berhad ("Bursa
Securities") with the following additional information for public release:-
1. The breakdown of the purchase consideration to be funded through the
internal generated funds and bank borrowings by the Company and Mega Western
Resources Sdn Bhd.
2. Quantification of the net assets, net assets per share and net profits of
Hok Hua Palm Oil Industries Sdn Bhd ("HHPO") based on the latest audited
accounts and latest quarterly reports.
3. The details of information on the Land as required under Items 1(c) to (h),
2 & 4, Part C, Appendix 10A of the Main Market Listing Requirements ("MMLR").
4. The details of information on HHPO as required under Item 19(d)(ii) & (iii),
Part A, Appendix 10A of the MMLR
5. To provide further elaboration on the business prospect of HHPO, future
earnings potential of HHPO and the book value of the total assets subject to
the due diligence exercise.
6. The salient terms of the valuation report and to make such valuation report
available for inspection.
7. The rationale for the Company to undertake the Proposals with Mega Western
Resources Sdn Bhd.
8. To confirm whether the Proposals will signify the diversification in
operations by your Company pursuant to Paragraph 10.13 of the MMLR.
9. The estimated time frame to complete the Proposals.
