Query Letter content: We refer to the Company's announcement dated 5 October 2011, in respect of the
aforesaid matter.
In this connection, kindly furnish Bursa Malaysia Securities Berhad ("Bursa
Securities") with the following additional information for public release:-
The tentative date for the completion of the sale and purchase agreement
entered into between the Vendor and CESB;
Given that the sale and purchase agreement entered into between the Vendor and
CESB has not been completed, please elaborate on how does the sale and purchase
agreements entered into between the LASB and TPSB and Yayasan Melaka can be
executed;
The basis in deriving the purchase consideration of RM100,000 per acre;
The net book value of the Land based on the latest audited financial statements
and whether the purchase consideration was arrived at after taking into
consideration the same;
The tentative time frame for the valuer to complete the valuation on the Land;
Reason as to why the valuation was not completed prior to the execution of the
agreements which will assist the Company in determining the basis of the
purchase consideration;
Upon the completion of the valuation, to provide the date and the method of the
valuation together with the quantification of the market value and to make
available the valuation report for inspection;
8. Whether there will be any revision to purchase consideration in the event
the market value as appraised by the independent valuer differs significally
from the purchase consideration;
9. The details of information on the Land as required under Part C, Appendix
10A of the Main Market Requirements, where applicable;
10. Detail elaboration of the additional income stream to be generated from the
Land and to be expected to contribute positively to the group;
11. Given that the Proposed Acquisition will result in the increase in gearing
from 2.37 times to 3.05 times, please state what are the proposed steps /
action to be taken to manage the high gearing;
12. The proposed usage of Land by Huat Lai upon the completion of the Proposed
Acquisition;
13. It is noted that your Company had:-
(a) on 23 February 2011 entered into an agreement to acquire 890 acres of

acquire 33.65% stake in TPC Plus Berhad for a consideration of RM8,075,400.
In view of the above transactions and the existing transaction, please provide
further elaboration on the corporate objective and future direction of your
Company i.e. to focus on poultry farming or diversifying into oil palm
plantation;
