Description: We refer to our announcement dated the 4 May 2011 concerning the above Acquisition by our wholly owned subsidiary CHHHSB and would wish to provide the following additional information requested vide Bursa Malaysia Berhad's letter of 5 May 2011 :-
1. The Rationale of the Proposed Acquisition is to synergies the operations of AISB's as a manufacturer of steel-pipes and CHRB as a stockist and
distributor of Hardware & Building Material. This should result in an increase of the turnover for both companies.
2. The purchase consideration of RM 3.6 million or RM0.45 per share was arrived on a willing buyer, willing seller basis after taking into consideration of the
Net Asset of the AISB of RM0.72 per share as at 31 December 2010.
3. Information on AISB.
a. AISB current operation including two wholly-owned subsidiaries are as follows:
i. Amalgamated Industrial Steel Berhad (Holding Company)
Engaged in the manufacture and sale of steel-related products, mainly black welded steel and galvanized industrial pipes, square and rectangular
hollow tubes, tubes, conduits and C-and-lipped channels
ii. Amalgamated Industrial Stainless Steel (1987) Sdn. Bhd ("AISS") - Subsidiary
Principal activity is the manufacturing of stainless steel products including welded austenitic stainless steel pipes, welded stainless steel mechanical
ornamental tubing, welded stainless steel pattern tubes, welded stainless steel water tubes, sanitary tubes, austenitic stainless steel butt welded pipe
fittings, and stainless steel screwed-end fittings.
iii. Amalgamated Industrial Marketing Sdn. Bhd ("AIM") (Subsidiary)
Trading arm for AISB and AISS which trade not only the products produce by the manufacturing division but also wider range of products to meet the
needs of its customers. The product range constantly expanding in line to the demand of the end users. The principle products marketed by AIM are
high tensile deformed steel bars, wire mesh, angle bar (carbon and stainless steel) dehydrated lime (constructions and water treatment), timber,
granites, HDPE pipes, high tensile galvanized purlin, steel strapping, mild steel round bars, and Portland blast furnace cement
b. AISB's Net Asset and Net Loss After Tax were RM82,182,814 and RM3,817,543 respectively for the financial year ended 31 December 2010.
4. The Acquisition is funded by internally generated funds.
