- Extension Of Time Granted For Submission Of Regularisation Plan
We refer to the Company's announcements dated 2 March 2011 and 9 March 2011 respectively.
The Board of Directors of Tracoma wishes to inform that Bursa Malaysia Securities Berhad ("Bursa Securities") had informed the Company vide its letter dated 6 April 2011 that after due consideration of all facts and circumstances of the case including the representations of Tracoma and the following:-
(i) the Company had entered into a Memorandum of Understanding with Yasmin Holdings Sdn Bhd ("Yasmin Group") on 23 March 2011;
(ii) the representations of Yasmin Group with regards to their commitment in respect of the regularisation of Tracoma; and
(iii) the representation of the Company that the Company that the Company would appoint a principal adviser within two weeks,
Bursa Securities decided to grant Tracoma an extension of time until 1 July 2011 as requested to submit the regularisation plan to the relevant authorities for approval ("the Extended Timeframe") provided that the Company appoint a principal adviser within two weeks from the date hereof i.e. on or before 20 April 2011.
Bursa Securities further decided to de-list the securities of the Company from the Official List of Bursa Securities pursuant to paragraph 8.04 of the Bursa Securities Main Market Listing Requirements ("Main LR") in the event:-
(i) the Company fails to appoint a principal adviser within two weeks from the date hereof i.e. on or before 20 April 2011;
(ii) the Company fails to submit the regularisation plan to the relevant authorities for approval within the Extended Timeframe;
(iii) the Company fails to obtain the approval for the implementation of its regularisation plan; or
(iv) the Company fails to implement its regularisation plan within the timeframe or extended timeframes stipulated by Bursa Securities.
Upon occurrence of any of the events set out in (i) to (iv) above, the securities of the Company shall be removed from the Official List of Bursa Securities on such date as may be specified by Bursa Securities subject to the Company's right to appeal against the rejection of the regularisation plan.
