BONUS ISSUE OF UP TO 273,456,000 NEW ORDINARY SHARES OF RM0.10 EACH IN K-ONE TECH ("BONUS SHARES") TO BE CREDITED AS FULLY PAID-UP ON THE BASIS OF TWO (2) BONUS SHARES FOR EVERY ONE (1) EXISTING ORDINARY SHARE OF RM0.10 EACH IN K-ONE TECH ("SHARE") HELD IN THE COMPANY ON AN ENTITLEMENT DATE TO BE DETERMINED LATER (BONUS ISSUE).
We refer to the announcements made by Kenanga Investment Bank Berhad ("KIBB"), on behalf of the Company on 29 November 2010, 6 January 2011 and 2 February 2011 in relation to the Bonus Issue.
On behalf of the Board of Directors of K-One Tech, KIBB is pleased to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had vide its letter dated 8 February 2011 (which was received on 9 February 2011), granted approval for the following:
1. listing of and quotation up to 40,824,000 additional warrants arising from the adjustment to the 20,412,000 outstanding warrants ("Warrants") pursuant to the Bonus Issue ("Additional Warrants"); and
2. listing of and quotation up to 40,824,000 new Shares arising from the conversion of the Additional Warrants.
The Bonus Shares and the Additional Warrants will be listed and quoted on the ACE Market of Bursa Securities with effect from 9.00 a.m. on Tuesday, 22 February 2011.
The Additional Warrants arising from the Bonus Issue will be issued to the Warrant holders registered in the record of depositors in proportion to their Warrant holdings in the ratio of two (2) Additional Warrants for every one (1) Warrants held at 5.00 p.m. on 21 February 2011 and the exercise price of the Warrants will be adjusted from RM1.81 to RM0.61 per Share.
The Company will issue and despatch the notice to the Warrant holders in relation to the adjustments to the number and exercise price of the Warrants pursuant to Condition 3(A)(iii) of the Third Schedule of the Deed Poll dated 18 April 2007 in due course.
Unless otherwise stated, defined terms used in this announcement shall carry the same meaning as defined in the previous announcements.
