Contents: (All abbreviations used in this announcement are defined in the Company's announcement dated 26 July 2010 unless redefined).
We refer to the announcement dated 26 July 2010 in relation to the Heads of Agreement. Under the recitals and terms of the Heads of Agreement:-
(a) AB Tech is in the process of acquiring from Teo Kwang Ek and Ho @ Hoo Thian Yen the entire issued and paid up share capital of MG Mutiara (M) Sdn Bhd with its principal activity being that of investment holding. The said acquisition will be completed prior to the completion of the Proposed Transaction.
(b) Gpro ("Purchaser") and the Controlling Vendors being reasonably satisfied within the Prescribed Period for Due Diligence that the results of the Purchaser's Due Diligence and Vendors' Due Diligence do not reveal any matter which would materially and adversely affect the interests of the Purchaser and the Controlling Vendors respectively. The Prescribed Period for Due Diligence is due to expire on 25 October 2010.
M&A Securities Sdn Bhd on behalf of the Board of Directors of Gpro wishes to announce that the Company had on 25 October 2010 entered into a supplementary heads of agreement ("Supplementary Heads of Agreement") with the Controlling Vendors for the following:-
(a) AB Tech shall no longer acquire the entire equity interest of MG Mutiara (M) Sdn Bhd. Instead, AB Tech will be acquiring from MG Mutiara (M) Sdn Bhd two pieces of land held under title particulars H.S.(D) 15584, Lot No. PTD 11023 and H.S.(D) 15588, Lot No. PTD 11027 both in the Mukim Kota Tinggi, District of Kota Tinggi, State of Johor together with the buildings erected thereon and all the machineries owned by MG Mutiara (M) Sdn Bhd.
(b) The conduct of the Purchaser's Due Diligence and Vendor's Due Diligence shall be extended for a further period from 25 October 2010 to 31 January 2011.
The other material terms and conditions of the Heads of Agreement shall remain unchanged.
The Supplementary Heads of Agreement may be inspected at the registered office of Gpro at No. 29, 31 and 33 Jalan Hang Tuah 4, Taman Muhibbah, 86000 Kluang, Johor Darul Takzim during normal business hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this announcement.

M&A Securities Sdn Bhd on behalf of the Board of Directors of Gpro wishes to announce that the Company had on 25 October 2010 entered into a supplementary heads of agreement ("Supplementary Heads of Agreement") with the Controlling Vendors for the following:-
