Contents: 1. INTRODUCTION

The Board of Directors of SMR TECHNOLOGIES BERHAD ("SMRT" or "the Company") are pleased to announce that SMR HR Group Sdn Bhd ("SMR HRG"), a wholly owned subsidiary of the Company has on 17 September 2010 been awarded a three (3)-year contract by the MOE for direct recruitment and management of ELT Consultants and implementation of In-Service Teachers Training for English Language Teachers in primary schools under the MOE as a TESL Teacher Capacity Enhancement Project ("the Contract").

The project will be managed through the Company's owned Technology Platform.

The Contract sum is approximately Ringgit Malaysia Eighty Nine Million and Five Hundred Thousand Only (RM89,500,000-00) ("Contract Sum").

2. SALIENT TERMS OF THE CONTRACT

(i) The Contract shall be effective for a period of three (3) years from 1 October 2010 to 30 September 2013.

(ii) MOE does not guarantee in anyway that the ELT Consultants Services will be taken in full. All appointments of ELT Consultants have to be in accordance with the demand from the Government's "constitutes an order".

(iii) Payment from MOE will be made according to the number of ELT Consultants appointed as agreed upon by MOE and SMR HRG.

(iv) The award constitutes the recruitment and management of up to 120 ELT Consultants to implement In-Service Teachers Training for English Language Teachers for a period of three (3) years from 1 October 2010 to 30 September 2013.

(v) The Company is required to deposit a performance guarantee in the form of an irrevocable financial guarantee by an approved financial institution or insurance company in Malaysia for a sum of RM4,475,000-00 representing five percent (5%) of the annual Contract Sum to be submitted to the MOE within fourteen (14) days from the date the letter of Contract is received. The Performance Guarantee should be valid effectively from 1 October 2010 to 30 September 2014.


(vi)Upon acceptance of the Contract, a formal agreement will be executed between MOE and SMR HRG.

3. FINANCIAL EFFECTS

The Contract is expected to contribute positively to the earnings of the SMRT Group.

The Plaintiff's claims are for the sum of RM1,676,554.00 in respect of goods and services provided to SJSB from the years 2006 to 2009 with the interest of 8% p.a. charged from 6 May 2010.

3. The details of the default or circumstances leading to the filing of the Writ of Summons against the Company, its subsidiary or major associated company.

The filing of the Writ of Summons is a result of the alleged default in payment of goods and services provided to SJSB.

4. The financial and operational impact of the Writ of Summons on the Group.

The Writ of Summons will not have any additional financial and operational impact on the Group.

5. The expected losses, if any, arising from the Writ of Summons.

Satang is exposing to the losses resulting from the above claim, interest and legal cost in respect from the Writ of Summons.

6. The steps taken and proposed to be taken by the Company in respect of the Writ of Summons.

Satang will seek the necessary legal advice from its solicitors with regards to the claim and will instruct its solicitors to defend the said claim.

The Company will announce further developments on the above matter as and when necessary.
