DISPOSAL OF SUBSIDIARY COMPANY - MKR CONSORTIUM SDN BHD ("MKRC")

Contents: 1. INTRODUCTION

The Board of Directors of MPHB wishes to announce that MKRC has ceased to be a subsidiary of MPHB on 4 June 2010 arising from the disposal by Dynamic Pearl Sdn Bhd ("DPSB") of its entire 51% equity interest in MKRC.

DPSB, a wholly-owned subsidiary of MPHB, has on 4 June 2010 entered into a Sale and Purchase of Shares Agreement ("SPA") with Dato' Ling Keak Ming ("the Purchaser") for the disposal of 51% equity interest in MKRC comprising 5,814,000 ordinary shares of RM1.00 each in MKRC to Dato' Ling Keak Ming at a total cash consideration of RM4.0 million ("Shares Consideration") ("Disposal of MKRC Shares").

Pursuant to the terms of the SPA, the Disposal of MKRC Shares was completed on 4 June 2010.

2. INFORMATION ON MKRC

MKRC is a private limited company incorporated in Malaysia under the Companies Act, 1965 on 19 September 1996. It has an authorised capital of RM25,000,000 divided into 25,000,000 ordinary shares of RM1.00 each, of which 11,400,000 ordinary shares of RM1.00 each have been issued and fully paid-up.

MKRC is principally involved in the designing and construction of railway and related activities.

3. BASIS OF CONSIDERATION

The Shares Consideration was arrived at on a willing buyer willing seller basis after taking into account the negative shareholders funds of MKRC of RM427,362 as at 31.12.2009.

4. RATIONALE FOR THE DISPOSAL OF MKRC SHARES

The Disposal of MKRC Shares is in line with MPHB Group's planned divestment of non-core assets and business.


5. EFFECTS OF THE TRANSACTIONS

5.1 Share Capital and Shareholding Structure

The Disposal of MKRC Shares will not have any effect on the issued and paid-up share capital of MPHB and the shareholdings of the substantial shareholders of MPHB.

5.2 Net Assets and Earnings

The Disposal of MKRC Shares will not have any material effect on the earnings and net assets of MPHB Group for the financial year ending 31.12.2010.

6. DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST

None of the directors and/or major shareholders of the MPHB and persons connected with them have any interest, whether direct or indirect, in the Disposal of MKRC Shares.

7. DIRECTORS' OPINION

The Board of Directors of MPHB, having considered the terms and conditions in relation to the Disposal of MKRC Shares, is of the opinion that the Disposal of MKRC Shares is in the interest of the MPHB Group.
