Contents: MBf Holdings Berhad ("MBfH or Company") wishes to announce that the Company has yet to comply with the public shareholding spread requirement as set out in Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") as at 31 May 2010.
 
 Bursa Securities had on 16 April 2010 granted MBfH a further extension of time of four (4) months until 31 August 2010 to comply with the public shareholding spread requirement. The percentage of MBfH's public shareholding spread as at 18 May 2010 was 16.31%.
 
 As the resolution on the proposed privatisation of the Company by way of a proposed selective capital reduction and repayment exercise under Section 64 of the Companies Act, 1965 was not approved at MBfH's Extraordinary General Meeting on 27 April 2010, MBfH's Board of Directors ("Board") has since deliberated on a number of options to rectify the Company's public shareholding spread, including, amongst others, the issuance of new ordinary shares of RM1.00 each ("MBfH Shares") and the sell down of MBfH Shares held by the Company's major shareholder.
 
 However, as MBfH Shares are currently trading below the par value of RM1.00, any issuance of new MBfH Shares (which is required by law to be issued at least at par value) to rectify the Company's public spread is unlikely to be sucessful.
 
 Accordingly, the Board has requested the Company's major shareholder namely, Tan Sri Datuk Dr. Ninian Mogan Lourdenadin ("TSDDNML") to consider selling down his shareholding in the Company to allow the Company to meet the public spread requirement. However, as of the date of this announcement, TSDDNML has yet to revert to the Board on his intention.
