Reference is made to the Company’s announcements dated 21 November 2014, 18 December 2014, 8 January 2015, 25 February 2015, 26 February 2015 and 5 March 2015 (“Earlier Announcements”) as well as the circular to shareholders of PWCB dated 19 December 2014 (“Circular”) in relation to the Dividend Reinvestment Plan. Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements and Circular. On behalf of the Board of Directors of PWCB (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that the issue price for the new PWCB Shares to be issued pursuant to the First Dividend Reinvestment Plan applicable to the single-tier interim cash dividend in respect of the financial year ended 31 December 2014 of eight (8) sen per PWCB Share announced on 25 February 2015 (“Interim Dividend”) has been fixed today (“Price Fixing Date”) at RM1.19 per new PWCB Share (“Issue Price”). The Issue Price represents a discount of approximately 9.16% to the ex-dividend volume weighted average market price (“VWAP”) of PWCB Share of RM1.31, which was arrived at after taking into consideration:- (a) the five (5)-day VWAP of RM1.39 per PWCB Share up to and including 6 March 2015, being the last trading day prior to the Price Fixing Date; and (b) a dividend adjustment of 8 sen to the five (5)-day VWAP of PWCB Share. On behalf of the Board, AmInvestment Bank also wishes to announce that books closure date for the Interim Dividend and First Dividend Reinvestment Plan shall be 23 March 2015. Barring any unforeseen circumstances, the new PWCB Shares arising from the First Dividend Reinvestment Plan will be listed on the Main Market of Bursa Malaysia Securities Berhad on 21 April 2015.
