The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the previous announcements in relation to the Bonus Issue of Warrants, where applicable. We refer to the previous announcements in relation to the Bonus Issue of Warrants. On behalf of the Board, RHB Investment Bank wishes to announce that, the Board had on 10 March 2015 executed the deed poll constituting up to 200,000,000 Warrants to be issued pursuant to the Bonus Issue of Warrants. In addition, RHB Investment Bank wishes to announce that, the Board had on even date, resolved to fix the exercise price of the Warrants at RM0.40 per Warrant, representing a premium of 86.92% over the five (5)-day VWAP of Maxwell Shares up to and including 9 March 2015, being the market day immediately preceding the price-fixing date, of RM0.214 . The exercise price was determined after taking into consideration, amongst others, the following:- (i) The par value of Maxwell Shares of RM0.40 each; (ii) the five (5)-day VWAP of Maxwell Shares immediately preceding the price-fixing date; (iii) the historical price movement of Maxwell Shares; (iv) the potential future earnings of Maxwell Group; and (v) the theoretical fair value of RM0.03 per Warrant as at 9 March 2015 based on the Black-Scholes Option Pricing Model.
