Remark:
(We refer to the announcements dated 12 June 2014, 25 November 2014,16 January 2015, 12 February 2015 and 3 March 2015 in relation to the Privatisation (“Announcements”). Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Announcements.)
The Privatisation is being undertaken by way of a members’ scheme of arrangement under Section 176 of the Act between IJM Land and all the Scheme Shareholders which involves the acquisition and transfer of the Scheme Shares to IJM and/or its nominees. In consideration of the acquisition and transfer of each Scheme Share from the Scheme Shareholders to IJM pursuant to the Scheme, IJM will pay RM3.55 which shall be satisfied by the issuance of zero-point five (0.5) IJM Share at an issue price of RM6.66 per IJM Share and cash consideration of RM0.22 for every one (1) Scheme Share held.
Scheme Shareholders whose names appear on the Record of Depositors of the Company and the Register of Members as at 5.00 p.m. on Monday, 23 March 2015 (“Books Closing Date”) will be entitled to participate in the Scheme. The settlement of the Scheme Offer Price will be effected on Friday, 3 April 2015, which is not later than fourteen (14) days after the Books Closing Date.
The trading of IJM Land Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Tuesday, 17 March 2015, which is three (3) clear Market Days prior to the Books Closing Date, until the de-listing of IJM Land Shares from the Official List of Bursa Securities. Accordingly, the last day and time of trading of IJM Land Shares on the Main Market of Bursa Securities shall be up to 5.00 p.m. on Monday, 16 March 2015.
The notice to shareholders in relation to the suspension of trading of IJM Land Shares and the Books Closing Date for the Scheme will be despatched to IJM Land’s shareholders on 9 March 2015.
Any enquiries concerning this notice of book closure date should be addressed to the Share Registrar of IJM Land at the abovementioned address.
