On behalf of the Board of Directors of the Company, Mercury Securities Sdn Bhd wishes to announce that the Company proposes to undertake the following:-
(i) proposed call option arrangement, whereby the Company will grant up to 2,340,000 call options to Macquarie Bank Limited or its nominated group entity (“Macquarie Bank”), which entitles Macquarie Bank to subscribe for up to 234,000,000 new ordinary shares of RM0.10 each in the Company (“Shares”) (“Proposed Call Option Arrangement”); and
(ii) proposed bonus issue of up to 1,291,250,000 warrants in the Company (“Warrant(s)”), on the basis of one (1) Warrant for every two (2) existing Shares held by entitled shareholders on an entitlement date to be determined by the board of directors of XingHe (“Proposed Bonus Issue of Warrants”).

| Cik Sharmin Fazlina Binti Mohd Shukor, gender: female, holds a Bachelor of Laws (Honours) degree from Brunel University, United Kingdom and the Certificate of Legal Practice from the Legal Qualifying Board of Malaysia. She was admitted to the High Court of Malaya in 2004. She began her career with Skrine and later joined Zaid Ibrahim & Co. She was named by the Islamic Finance News Awards 2012 as one of the leading lawyers in the corporate and commercial area of legal practice in 2012. Currently, she is a partner of a legal practice in Kuala Lumpur. Cik Sharmin has experience in advising clients on legal matters of housing development projects, tenancy and on general aspects of commercial law, in particular with respect to the legal aspects of management and compliance of environmental law. She has assisted in proposed law reform work in relation to water resources and river basin management and also assisted in advising on infrastructure and highway projects, including on the concession, operation and maintenance of such projects. Cik Sharmin also advises on general matters relating to corporate and commercial law and has been actively involved in variuos legal due diligence exercises. |
