Pursuant to the Paragraph 9.28(3) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Listing Requirements”), the Company wishes to announce that it is unable to issue its annual report for the financial year ended 31 March 2014 (“Annual Report 2014”) and submit the Annual Report 2014 to Bursa Securities and shareholders within six (6) months from the close of the financial year ended for 31 March 2014 which is by 30 September 2014 (“Relevant Timeframe”) as required under the Paragraph 9.23(1) of the Listing Requirements as the management of HIB is adapting to the new working relationship with the Liquidators pursuant to the winding-up order granted by the High Court of Malaya at Kuala Lumpur (“the Court”) on 19 May 2014 (“Winding-Up Order”). However, the Court had on 24 September 2014 granted the stay of winding-up order until the hearing for the appeal proper against the winding-up order on 3 December 2014. The Company is in the midst of finalising the outstanding Annual Report 2014 and is expecting to submit its outstanding Annual Report 2014 to Bursa Securities by 31 October 2014. The Company also wishes to inform that it is aware of the provisions contained in Paragraph 9.28(5) of Listing Requirements that, if HIB fails to issue the outstanding Annual Report 2014 within five (5) market days after the expiring of the Relevant Timeframe (the last day of this five (5) market days period is referred to as “Suspension Deadline”). In addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of HIB. The suspension shall be effected on the next market day after the Suspension Deadline, i.e. 8 October 2014 and will be uplifted on the market day following the issuance of the outstanding Annual Report 2014 unless otherwise determined by Bursa Securities. The trading in HIB’s shares, however, has been suspended since 30 May 2014 pursuant to Paragraph 16.02(j) of the Listing Requirements. As for failure to issue its Annual Report 2014, the trading of the Company’s shares will continue to be suspended pursuant to Paragraph 9.28(5) of the Listing Requirements until further notice. Pursuant to Paragraph 9.28(6) of the Listing Requirements, if HIB fails to issue the outstanding Annual Report 2014 within six (6) months from the expiry of the Relevant Timeframe. In addition to any enforcement action that Bursa Securities may take, delisting procedures shall be commenced against HIB. This announcement is dated 30 September 2014.
