INTRODUCTION Pursuant to Paragraph 9.19(20) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Cahya Mata Sarawak Berhad (“CMSB”) wishes to announce that its wholly-owned subsidiary, CMS I-Systems Berhad (“CMSI”), will place I-Systems (Guangzhou) Co. Ltd., (“ISG”), a wholly-owned subsidiary of CMSI, under Member’s Voluntary Winding-up. INFORMATION ON ISG ISG was incorporated in Guangzhou, People’s Republic of China on 28 June 2003 under the Chapter II (Section 1) of the Company Law of the People’s Republic of China as a private limited company with an original cost of investment of RMB 598,754.00. ISG has an authorised share capital of RMB 600,000.00 comprising of 600,000 ordinary shares of RMB 1.00 each of which RMB 598,754 ordinary shares are issued and fully paid-up. The principal activity of ISG was to provide software development and e-business solutions in China. ISG had ceased operation in January 2014. APPOINTMENT OF LIQUIDATOR Ms. Dong Gui Qun has been appointed as liquidator of ISG on 16 May 2014. APPROVAL REQUIRED The aforesaid voluntary winding-up is subject to the approval of the shareholder of ISG which was obtained on 16 May 2014. FINANCIAL EFFECTS The winding up of ISG will not have any effect on the net assets and earnings of the CMSB Group for the financial year ending 31 December 2014. DIRECTORS' AND/OR MAJOR SHAREHOLDERS' INTERESTS None of the Directors, major shareholders of CMSB and/or persons connected to them has any interest, direct or indirect, in the winding up of ISG.
