The Board of Directors of Goldis Berhad (“Goldis” or “the Company”) wishes to announce that Goldis intends to seek its shareholders’ approval for the proposed renewal of authority for the Company to purchase its own shares of up to ten percent (10%) of the issued and paid-up ordinary share capital of the Company (“Proposed Share Buy-Back”) at the forthcoming Fourteenth Annual General Meeting of the Company.
The present mandate granted by the shareholders of Goldis at the Thirteenth Annual General Meeting held on 27 June 2013 for the purchase of its own shares will expire at the conclusion of the forthcoming Fourteenth Annual General Meeting (“AGM”) of Goldis.
The authority from the shareholders of Goldis for the Proposed Share Buy-Back, if renewed, shall be effective upon the passing of the Ordinary Resolution for the Proposed Share Buy-Back at the forthcoming Fourteenth AGM until the conclusion of the next AGM of Goldis, unless earlier revoked or varied by an ordinary resolution of shareholders of the Company in a general meeting.
A Statement on the Proposed Share Buy-Back will be issued to the shareholders of the Company together with the Company’s Annual Report in due course.
