| Description | EXECUTION OF PRODUCTION EQUIPMENT REVAMPING AGREEMENT BETWEEN CSC STEEL SDN. BHD. (“CSCM”) AND CHINA STEEL GLOBAL TRADING CORPORATION., LTD. (“CSGT”) TO CONSTRUCT PRODUCTION EQUIPMENT REVAMPING FOR OPERATION AT CSCM'S PREMISE IN MELAKA (THE "PURCHASE"). |
The Company's announcement on 20 September 2013 in
respect of the above matter refers. The Company wishes to provide
more information on the subject Purchase as follows:- 1. The basis and
justification for the consideration was arrived at after putting the Purchase through the following process:- a) The Purchase was carried out in
accordance with CSCM's normal procurement process, whereby a price comparison
of at least three (3) suppliers was done. Subsequently, the contract was
awarded to the lowest offer and qualified supplier. b) The
specification and technical requirements of the Purchase was concluded in
accordance to the requirements of CSCM. 2. There are no liabilities, including contingent liabilities and guarantees, to be assumed by the Company arising from the Purchase. 3. Other aspects of the Purchase considered by the Audit Committee in item 12 of the announcement made on 20 September 2013 are:- a)
There are no transactions with the same related party for the preceding twelve (12)
months, except for recurrent related party transactions whose prior approval have been obtained from the shareholders at the recently concluded Ninth Annual General Meeting held on 20 June 2013. b)
The Purchase was carried out in accordance with CSCM's normal procurement process,
whereby a price comparison of at least three (3) suppliers
was done. Subsequently, the contract was awarded to the lowest offer
and qualified supplier. c)
The specifications and technical requirements had been evaluated by the Company's
internal technical experts and the Purchase was concluded in accordance to the
requirements of CSCM. d) The
commercial terms and conditions of the contract signed between CSCM and CSGT
are of the same normal arm's length contract terms used by CSCM. This announcement is dated 23 September 2013.
