Pursuant to Paragraph 14.08(a) of the Main Market Listing Requirements ("MMLR") of Bursa Malaysia Securities Berhad ("Bursa Securities"), this is to notify Bursa Securities that Gregory Charles Poarch (the "Affected Person"), a principal officer of the Company, intends to deal in the Company's securities during the closed period. We refer to the announcements made by RHB Investment Bank, on behalf of the Board on 8 February 2013, 12 March 2013, 15 March 2013, 4 April 2013 and 5 April 2013 in relation to the Proposals. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements in relation to the Proposals. On behalf of the Board, RHB Investment Bank wishes to announce that MRCB had, on 22 April 2013, notified NGD that the Board has resolved that they are agreeable to acquire the remaining equity interest not held by NGD in P.J Sentral, comprising 58,247,400 ordinary shares of RM1.00 each and 83,679 redeemable preference shares of RM1.00 each representing 30% of the issued and paid-up share capital of P.J Sentral held by PKNS Holdings Sdn Bhd (“PKNS”)(“PKNS Shares”), upon the same terms as those applicable for the acquisition by MRCB of NGD’s shares in P.J Sentral pursuant to the Proposed Acquisition of NGD Subsidiaries. Subsequently, MRCB has been informed by NGD that NGD has, on the date of this announcement, served a notice to PKNS pursuant to the terms of the shareholders’ agreement between NGD, PKNS and P.J Sentral dated 3 September 2010 to, inter-alia, request PKNS to participate in the sale of the entire issued and paid-up share capital in P.J Sentral to MRCB for a total consideration of RM85,300,000 (“Drag Along Notice”). MRCB will make a further announcement upon a conditional share sale agreement being entered into between MRCB and PKNS (“PKNS SSA”) consequent to the issuance of the aforesaid Drag Along Notice. Further, on behalf of the Board, RHB Investment Bank also wishes to announce that the GHC Valuation Report has been finalised and is currently available for inspection at the registered office of the Company at Level 21, 1 Sentral, Jalan Travers, Kuala Lumpur Sentral, 50470, Kuala Lumpur, during normal business hours (except public holidays) for a period of three (3) months from the date of this announcement.
