We refer to the earlier announcements on 26 November 2012, 11 January 2013, 17 January 2013, 30 January 2013, 20 March 2013 and 3 April 2013. On behalf of the Board of Directors of Cuscapi, RHB Investment Bank Berhad wishes to announce that as at the close of acceptance and payment for the Rights Issue with Warrants at 5.00 p.m. on 18 April 2013, the total acceptances and excess applications for the Rights Issue with Warrants were 175,636,758 Rights Shares, which represents an over-subscription of 42.61% over the total number of 123,156,433 Rights Shares available for subscription under the Rights Issue with Warrants. The details of the acceptances and excess applications received as at the close of acceptance and payment for the Rights Issue with Warrants as at 5.00 p.m. on 18 April 2013 are set out below:-
The Board has applied the following basis in allocating the Excess Rights Shares in accordance with the Abridged Prospectus dated 30 March 2013:- i. Firstly, to minimise the incidence of odd lots; ii. Secondly, for all allocation to Entitled Shareholders who have applied for the Excess Rights Shares on a pro-rata basis and in board lot, calculated based on their respective shareholdings in the Company as at 5.00 p.m. on 3 April 2013; iii. Thirdly, for allocation to Entitled Shareholders who have applied for the Excess Rights Shares on a pro-rata basis and in board lot, calculated based on the quantum of Excess Rights Shares applied for; and iv. Finally, for allocation to renouncees who have applied for the Excess Rights Shares on a pro-rata basis and in board lot, calculated based on the quantum of Excess Rights Shares applied for. Description | Clarification to the announcement in relation to the extension of time for the utilisation of proceeds raised from the renounceable rights issue. |
We refer to the announcement dated 22 April 2013 and wish to clarify as follows:- The fertility centre in Kuantan, which is one of the six (6) fertility centres as mentioned in above statement contained in the Abridged Prospectus, had ceased operation since June 2012 due to its continuing losses over the years. In August 2012, the Company had disposed of its hospital in Penang (with the exception of the fertility centre in Penang). Hence the expansion and renovation at the hospital in Penang was not carried out as planned. Consequent to the disposal of the hospital in Penang, the fertility centre in the said hospital is in the midst of relocating from the hospital to a new site at Straits Quay, Penang. The said centre is expected to commence its operation upon completion of the required renovation and after all necessary authorities approvals have been obtained which is anticipated to be within 4 months from the date hereof. In addition, renovation to the other fertility centres was also delayed due to constraint in manpower resources. As for the hospital at Kota Damansara, the purchase of certain medical equipment and renovation of new consultant suites were timed to be in line with recruitment of new consultants who will commence their respective practices at varying times during the course of the next financial year. |
